03:27- What are some common pitfalls businesses encounter during mergers and acquisitions?

  • You must think through critical things before negotiating deal terms – what’s your theory of the deal, why engage in the transaction, and what matters and doesn’t matter to you?
  • As a buyer, you must plan integration post-transaction. As a seller, disengage completely or stay involved somehow post-deal. Inadequate planning causes issues during the deal.
  • You must have an adequate team of people inside the company and outside advisors like lawyers, and accountants. 

09:27- What are the complexities if you start looking at cross-border M&A?

  • Almost all transactions I’ve worked on have some cross-border component – a tribute to intertwined global commerce.
  • Challenges arise due to varying legal constructs and diverse cultural expectations and attitudes related to M&A deals in different jurisdictions.
  • It requires working through cultural differences to reach understanding, not just on deal terms but on how we interact.
